We have an exciting new opportunity for a Company Secretary to join Flynn O’Driscoll LLP. 

 

The Company Secretary will have responsibility for the annual compliance of all client companies across the firm’s client base be a member of the Firm’s Aviation Team, however, they will work with a diverse range of the Firm’s clients and will be involved in a broad mix of work across a number of sectors (with the opportunity for involvement in both transactional advisory and compliance work). In addition to external client facing work, the role will involve responsibility for the oversight and ongoing development of the Firm’s internal compliance function.  

 

Key Responsibilities: 

  • Maintenance and monitoring of company secretarial filing dates and communication of same.

  • Responsibility for timely preparation, submission and maintenance of filings with the Companies Registration Office and other relevant regulators.

  • Arranging for company formations and branch registrations.

  • Preparation of annual returns.

  • Preparation of documentation for Annual General Meetings and assistance with other minutes as required.

  • Maintenance of statutory registers on internal systems and updating minute books.

  • Preparation of board meeting minutes and resolutions.

  • Maintenance of internal trackers / spreadsheets.

  • Advising and assisting the Firm’s client base on various matters relating to their compliance requirements under the Companies Acts 2014.

  • Responsibility for inducting, training and mentoring new team members and providing assistance during induction period of company secretarial matters arising.

  • Provision of transactional support to the Aviation Team in relation to company law matters.

  • Oversight and ongoing development of the Firm’s internal compliance function.

  • Ad hoc duties that may be assigned from time to time.

 

Your Experience: 

  • You will be qualified/part qualified with ICSA/CGI with a minimum of 2-3 years’ experience in managing company secretarial matters for multiple companies (either in practice or in-house). 

  • You will have a strong academic record.

  • You have excellent organisational and interpersonal skills.   

  • You have Companies Act 2014 expertise.

  • You are a team player with great interpersonal and communication skills.
